Terms of Use

LiTown is a live city discovery platform that helps users discover venues, ask local questions, view city activity, receive in-app updates, interact with venue information, and participate in Sparks and Town Captains features.

LiTown may include real user content, venue content, partner content, system content, demo content, city prompts, and automated or AI-assisted features.

You must be at least 13 years old to use LiTown, or older if required by local law. By using LiTown, you represent that:

• You meet the minimum age requirement
• You have legal capacity to agree to these Terms
• Your use of LiTown complies with applicable laws
• You will not use LiTown for illegal, harmful, misleading, or abusive purposes

If you use LiTown on behalf of a business, venue, or organization, you represent that you have authority to bind that business or organization to these Terms.

To use some features, you may need an account. You agree to:

• Provide accurate information
• Keep your account information updated
• Keep your login credentials secure
• Be responsible for activity under your account
• Notify us if you suspect unauthorized access

We may suspend, limit, or terminate accounts that violate these Terms or create risk for LiTown, users, venues, partners, or the public.

You may submit content to LiTown, including questions, answers, Snap responses, venue updates, comments, images, videos, profile content, vibe reports, and other information ("User Content").

You are responsible for your User Content. You represent that:

• You own or have permission to submit it
• It does not violate law or third-party rights
• It is not false, harmful, abusive, defamatory, discriminatory, sexually exploitative, threatening, or illegal
• It does not infringe intellectual property rights
• It does not contain malware, spam, or deceptive material
• It does not intentionally mislead people about real-world safety, crowd conditions, venue access, or emergencies

By submitting User Content, you grant LiTown a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, perform, distribute, modify, adapt, publish, translate, create derivative works from, and use your User Content to operate, improve, promote, and provide LiTown.

This license allows us to:

• Show your content in the app
• Display venue and city activity
• Rank, organize, or recommend content
• Use content for moderation and safety
• Promote LiTown using public or non-private content
• Improve products, features, and analytics
• Create previews, summaries, or excerpts

You retain ownership of your User Content, subject to the license above.

Some LiTown features are public or semi-public by nature. For example:

• Ask questions may be visible to nearby users
• Answers may be visible in Ask detail pages
• Venue updates may appear on VenueProfile
• Leaderboard activity may appear in Town Captains
• City notifications may appear to users in a city
• Profile information may be visible to others
• Snap-backed responses may be displayed where submitted

Do not submit information you do not want others to see.

Ask the Town lets users ask location or venue-related questions and may attach Sparks bounties to encourage responses.

You agree not to:

• Ask questions that encourage illegal conduct
• Submit false emergency or safety claims
• Harass venues, users, or businesses
• Use Ask the Town to defame or target people
• Manipulate bounties or rewards
• Use fake accounts to answer your own asks
• Submit misleading information about venue access, safety, crowd level, or prices

LiTown may remove, limit, expire, close, or moderate asks at any time.

Users may submit answers, Snap-backed responses, or vibe reports. You agree that:

• Your answer should be honest to the best of your knowledge
• You should not fake live proof
• You should not upload old, unrelated, or misleading media as live activity
• You should not submit content that invades someone's privacy
• You should not film or expose private individuals in a harmful or unlawful way
• You should respect venue rules and local law

LiTown may label, rank, hide, remove, or moderate answers and reports.

Sparks are an in-app feature used for activity, engagement, visibility, rewards, bounties, and other LiTown experiences.

Unless expressly stated otherwise:

• Sparks are not legal tender
• Sparks are not money
• Sparks are not a bank account
• Sparks are not a deposit
• Sparks do not earn interest
• Sparks may not be transferable outside LiTown
• Sparks may have no cash value unless LiTown specifically marks them as cashable
• LiTown may change Sparks rules, earning rates, spending rules, or availability at any time

LiTown may maintain different types of Sparks, including bonus Sparks, spendable Sparks, and cashable Sparks. Cashable Sparks, if offered, may be subject to eligibility, verification, minimum thresholds, anti-fraud checks, payout availability, fees, taxes, and local legal requirements.

Users may attach Sparks bounties to asks. When an answer is accepted, LiTown may reward the answerer according to the rules shown in the app.

LiTown may deny, reverse, delay, or cancel rewards if:

• Fraud or abuse is suspected
• The answer is fake or misleading
• The answerer answered their own ask
• The content violates these Terms
• The bounty or reward was created by error
• A technical issue occurred
• A payment or top-up failed
• The activity is demo, system-generated, or otherwise not eligible
• Required verification is incomplete

LiTown's records are authoritative for Sparks balances, rewards, and transactions, unless clearly incorrect.

LiTown may offer paid features, top-ups, subscriptions, promotions, venue products, or other purchases. Payments may be processed by third-party providers.

You agree that:

• Prices may change
• Purchases may be final unless otherwise required by law
• Taxes, fees, or app store rules may apply
• We may refuse or cancel transactions
• Payment providers may have separate terms
• App store purchases are subject to app store rules

Do not attempt to manipulate payment flows, top-ups, rewards, or balances.

Venues may be listed on LiTown through public information, user submissions, partner submissions, owner onboarding, or LiTown curation.

Venue owners and partners agree to:

• Provide accurate business information
• Maintain rights to uploaded images, videos, and promotional content
• Avoid misleading claims
• Follow applicable laws and venue regulations
• Respect users and community guidelines
• Not manipulate reviews, activity, rankings, or visibility

LiTown may edit, reject, remove, merge, verify, unverify, feature, promote, or demote venue listings at its discretion.

Being listed on LiTown does not guarantee traffic, sales, rankings, visibility, or business results.

LiTown may display promoted, featured, partner, demo, or system content. We may rank content based on relevance, city activity, promotion status, safety, quality, user behavior, business partnerships, or other factors.

Promoted or featured placement does not mean LiTown guarantees a venue's quality, safety, availability, pricing, entry conditions, crowd level, or service.

LiTown may use demo, seed, test, or system-generated content to support early markets, product education, onboarding, city previews, and low-activity areas.

Demo content may include:

• City notifications
• Example leaderboard entries
• Sample asks or prompts
• Venue pulse items
• Suggested questions
• Non-personal city activity examples

Demo content should not be treated as verified live user activity. LiTown may label, modify, hide, or remove demo content at any time.

LiTown may provide in-app notifications, city updates, system tips, venue activity, reward messages, and account alerts.

You agree that notifications may include:

• Personal account updates
• Ask and answer updates
• Sparks and reward messages
• City pulse messages
• Venue trends
• Product announcements
• Partner or promotional messages, where allowed

You may be able to control certain notification settings. Some service or security notifications may still be sent.

You agree not to:

• Violate any law
• Harass, threaten, abuse, or harm others
• Submit false, misleading, or dangerous information
• Impersonate someone else
• Upload illegal, infringing, or harmful content
• Scrape, copy, or harvest LiTown data without permission
• Reverse engineer the app
• Interfere with security or infrastructure
• Circumvent access controls
• Manipulate Sparks, rankings, rewards, or venue visibility
• Create fake accounts or coordinated fake activity
• Use bots or automation without permission
• Use LiTown for surveillance, stalking, or unlawful tracking
• Upload malware or harmful code
• Damage LiTown's reputation, systems, users, venues, or partners

LiTown provides city and venue information that may change quickly. We do not guarantee that information is complete, accurate, current, safe, or suitable for your situation.

Before going somewhere, you are responsible for your own judgment, safety, transportation, legal compliance, and decisions.

LiTown does not guarantee:

• Venue availability
• Entry approval
• Pricing accuracy
• Crowd levels
• Queue length
• Safety conditions
• Event availability
• Opening hours
• Service quality
• Transportation availability
• Weather or emergency conditions

Use common sense and follow local law.

LiTown may review, moderate, remove, restrict, label, rank, or preserve content at its discretion. We may take action against accounts or content that violate these Terms or create risk.

Actions may include:

• Warning
• Content removal
• Reduced visibility
• Feature restriction
• Sparks reversal
• Reward cancellation
• Account suspension
• Account termination
• Reporting to authorities where legally required or appropriate

We are not obligated to monitor all content.

LiTown, including its name, logo, app design, features, software, content, trademarks, branding, and related materials, is owned by LiTown or its licensors.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from LiTown without permission, except as allowed by law.

If you submit feedback, ideas, suggestions, or improvements, you grant LiTown the right to use them without restriction or compensation.

LiTown may integrate with third-party services, including maps, app stores, payment providers, analytics tools, authentication services, venue websites, and social platforms.

We are not responsible for third-party services, content, terms, policies, or actions.

LiTown may change, suspend, discontinue, limit, or modify any part of the service at any time, including features, cities, Sparks rules, venue listings, rankings, notifications, or promotional programs.

We do not guarantee uninterrupted, secure, or error-free service.

LiTown is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

We do not guarantee that LiTown will meet your expectations or that city activity information will be accurate or current.

To the maximum extent permitted by law, LiTown and its owners, officers, employees, contractors, partners, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, business, opportunities, or reputation.

To the maximum extent permitted by law, our total liability for any claim relating to LiTown will not exceed the greater of:

• The amount you paid to LiTown in the three months before the claim, or

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

You agree to defend, indemnify, and hold harmless LiTown and its owners, officers, employees, contractors, partners, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from:

• Your use of LiTown
• Your User Content
• Your violation of these Terms
• Your violation of law
• Your violation of third-party rights
• Your venue, business, or partner activity
• Your misuse of Sparks, bounties, rewards, or rankings

You may stop using LiTown at any time. We may suspend or terminate your access at any time if we believe you violated these Terms, created risk, misused the service, or for other legitimate reasons.

After termination, some provisions will continue to apply, including intellectual property, licenses, disclaimers, limitation of liability, indemnity, and dispute provisions.

These Terms are governed by the laws of [Insert Governing Jurisdiction], without regard to conflict of law principles.

If LiTown operates through a Rwanda-based entity, consider using Rwanda as the governing jurisdiction. If operated through another legal entity, insert that jurisdiction.

Any disputes will be resolved in the courts or dispute forum located in [Insert Jurisdiction], unless applicable law requires otherwise.

We may update these Terms from time to time. If changes are material, we may notify you through the app, website, email, or another reasonable method. Continued use of LiTown after changes become effective means you accept the updated Terms.
